Terms of Service
By signing this agreement, you ("Client") agree to retain Jacqui Smith of WhiteSpace Design Studio. ("Service Provider") to proceed with branding and/or design services for a design intensive, packaged under VIP Design Day, and agree to the terms and conditions as set forth in this Agreement.
Timeline : Work will be performed at the offices of Service Provider, but occasionally may take place at other locations, as required. Work priority and scheduling will be at the discretion of Client. Work will normally occur between the hours of 6am - 3pm AEST on weekdays.
Scope : During this intensive, Service Provider agrees to devote up to 7 hours on assignments to be determined by Client, as well as 1 hour for a pre-intensive strategy call, 1 hour for post-intensive "fix" support and 30 days of post-intensive email and messaging support.
Additional Services : The Client is responsible for obtaining their own hosting service, website domain as an addition to the base price in the agreement and will grant the necessary permissions to the developer. The client is responsible for providing their own typography license for any fonts used, all content, including copy and digital photos and images unless otherwise specified in the project scope. guidance is offered when needed, the final content is to be supplied by the Client. These services can be provided by the Service Provider at an additional cost to the Client.
Revisions : Input from the Client is encouraged during the complete design progress. Revisions can be made with time during the original VIP Day or in the 1 hour post design revisions support. Client acknowledges that additional revisions made limit the final deliverables if the Service Provider is unable to complete certain aspects of the project to move on to the next.
Support : During the 30 days of post-intensive support, the Client will be able to email or message Service Provider with any questions or concerns about the work that was performed during the intensive, and will receive a reply via email, message or video tutorials. This support does not cover additional design or website work that exceeds what was done during the intensive. If the Client has additional work that needs to be performed, Client will have the option to book another day or half-day intensive, or at the standard hourly design rate of $75USD | $100AUD.
Payment Schedule : Payment for these services will be to Service Provider at the rate of $500USD | $650AUD for a Half Day or $995USD | $1300AUD for a Full Day and will be due at the time of booking this appointment. Client may choose to alternatively pay a 50% deposit to secure date, and pay the balance within 24 hours of the appointment date and before handover of the project.
Additional Work : Design services in addition to the intensive will be made available by Service Provider at the current daily or half-date rate, and will be billed separately. Any expenses exclusive of normal overhead are not included in this agreement and will be billed separately. Examples of such expenses are: stock images, premium font licenses, and 3rd party application services.
Ownership : The results of any and all work performed by Service Provider for Client are owned by the Service Provider and copyright is transferred to Client after completed payment is paid in full for the project. Client may use this material in any way deemed appropriate. Copyright to client supplied text and images are retained by Client and will not be disclosed or reused by Service Provider unless permission is granted in writing. Copyright to scripts, coding or other elements not created by the Service Provider are retained by the respective owner.
Client understands that any written statements, images, audio recordings or video recordings of Client while participating in the intensive and made on behalf of the Service Provider may be used in connection with publicising and promoting the Service Provider. Client authorises the Service Provider to use their name, brief biographical information, and the written or recorded statements. Client agrees that the Service Provider can include site credit on the bottom of the website pages. The Client also agrees to allow the Service Provider to include the project in the Service Provider's portfolio and marketing materials.
Limited Liability : Client agrees that any material submitted for publication will not contain anything leading to an abusive or unethical use of the Web Hosting Service, the Host Server or the Developer. Abusive and unethical materials and uses include, but are not limited to, pornography, obscenity, nudity, violations of privacy, computer viruses, harassment, any illegal activity, spamming, advocacy of an illegal activity, and any infringement of privacy. Client hereby agrees to indemnify and hold harmless the Service Provider from any claim resulting from the Client's publication of material or use of those materials. It is also understood that the Service Provider will not publish information over the Internet which may be used by another party to harm another.
Modification : The client has the right to modify the design or web pages after the project is complete at the risk of damages to functionality or design. If modifications are made to the design or site after project completion date and service is needed from the Service Provider the Client must book and additional VIP Design Day or Half Day to cover the fixes.
This purchase is non-refundable, but may be transferred to another date or service with 7 days prior written notice. The Client's deposit is valid for 90 days, and must be used within that timeframe. In the event the intensive fails to occur within 90 days, or the Client fails to request a new date at least 7 days prior to their booked appointment, the deposit will be forfeited, and the intensive will be terminated. If the Client wishes to reschedule beyond 90 days, the original deposit may, at the Service Providers discretion, be applied to a new booking at the current intensive rate, which may or may not be higher than the original booking rate. Additional reschedules in addition to one provided will incur a $200 rescheduling fee.
By paying the deposit or full amount due I confirm that I have read and agree to the terms above.
